3percent Limited (also called “3percent” or “we/our/us” throughout this document) offers Software as a service (SaaS). Our product (crypto AI trading bot) enables you to trade in cryptocurrencies by means of a crypto AI trading bot.

These terms and conditions build a relationship between 3percent and you for any use of the website, product, services that 3percent offers. You cannot use our product and/or service without accepting these Terms and Conditions.

Introduction

These Terms & Conditions are also a legal agreement between 3percent and you regarding your access to and use of the Product, which includes, without limitation, registering for a User account (“Client Account”) on the Platform. By accessing or using the Product/Platform, you agree to be bound by these Terms & Conditions. It is also mandatory for you to read our Privacy Policy at https://3percent.io/3percent-privacy-policy, which is incorporated by reference into the Terms & Conditions. If you do not wish to be bound by these Terms, please do not access or use the Product/Website.

If you are entering into these Terms & Conditions on behalf of an enterprise or any other legal entity, you put forth your representation that you have the authority/power to bind such entities and its affiliates to these Terms & Conditions, in which case the terms “you” and “your” shall refer to those affiliates and entities and not to you personally. If you do not have the authority mentioned above, you must not accept these Terms & Conditions and may not use the Product.

You are bound to agree that you will review these Terms periodically. If you do not accept these Terms & Conditions or any altered version of these Terms, your only option is to terminate your use of the Product. If you breach any of these Terms & Conditions, your authorization to use 3percent terminates automatically, and you must discontinue from using the Service(s) and Product(s).

About the Product3percent provides you with tools that manage your cryptocurrency holdings including but not limited to tools that :

• Place buy and sell orders on one or multiple third-party cryptocurrency exchanges using the capabilities of third-party’s public APIs.

• Configure the parameters of “3percent Bot/Trading AI bot.” that is programmed to execute trade orders automatically on crypto exchanges within the established parameters and with(out) the minimum level of human interaction or intervention;

• Earn an additional fee or commission, elect to follow and receive further information from third parties who use the Product/Software as a platform to distribute their own data to customers who have subscribed to their newsfeed or distribution list (“Enterprise Partners”);

• Use 3percent application programming interfaces and API-related specification documents (“3percent API” or “API” or “Exchange API”) to establish a connection to the partner and third-party services.

1. Definitions

• 3percent: 3percent (https://3percent.io/) is a limited liability company incorporated under the laws of Hong Kong. The company’s registered office is in Hong Kong. 3percent is also referred to as “We/Our/Us in this document.”

• User(s): Individual person(s) or company(s) or legal entity making use of the Website or Product. Users are also known as “You” or “Your” in this document.

• Product/Software: The Product/Software 3percent has developed to allow Users to trade using cryptocurrencies on the crypto market with the assistance from a smart crypto trading bot.

2. Registration

If a user wants to use our Website and Product, he/she has to visit https://3percent.io/. They then will have to register and create an account with valid credentials in order to use the Website and Product. It is their responsibility to protect the login details of their account and keep the credentials safe. We will assume that all the activities taken from the user account are done by them or under their supervision. The users are bound to provide up-to-date, complete, and accurate information on their accounts.

3. Offers and Pricing/Commission Structure

All offers and free packs on the Website/Platform are without obligations. However, all the provided offers and free trials are subject to change in accordance with these Terms. The prices/commissions on the Website are including service charges, and other expenses. We can always adjust our prices. The price change will take effect immediately and will be notified to the registered Users.

4. Trading Period

• All the time zone mentioned below is based on Hong Kong time.

• Trading period starts 7pm, 2nd Sunday of a month to the 6pm, 2nd Sunday of the next month, e.g. 7pm, 9th Aug, 2020 – 6pm, 13th Sep, 2020.

• For a new User, the first trading period is from the day of AI bot set up completed to the 2nd Sunday of the next month. If the period is less than 30 days, the end of the first trading period is the 2nd Sunday of the following month.

5. Subscription and Payment

• You will need a subscription to use the complete Product, Subscriptions are offered in different versions: for a minimum amount of deposit per month, trading period. You can view the plans at https://3percent.io/.

• 3percent offers several sorts of packages as a subscription. Each package has the same set of features, and only the fee structure and referral compensation level vary. You can find all our plans/packages at https://3percent.io/.

• 3percent will give the User access to the Product/Software immediately after the registration and minimum deposit have been completed. Users can use AI trading Bots within the Product based on the subscription.

• Performance of AI trading bot for each month is calculated based on the USDT equivalent amount of assets that User is holding in his/her account as of the last day of each trading month; screen shot captured between 6pm and 7pm on the day is provided to each User

• Commission is calculated based on the incremental profit as of the last day of each trading month.

• The commission of the membership plan will be invoiced on the 2nd Sunday of each month. Users can make their payments through the payment modes displayed on the invoice. The payment methods may include bank transfer and cryptocurrencies.

• Referral bonus will be paid to referrer, as long as the referrer maintains the minimum deposit amount (e.g. 5,000 USDT) in his or her Binance account connected with 3percent bot, within 7days after 3percent receives the commission from the referred users.

• Withdrawal Transaction fees for paying commission fee are bound to 3percent while Transaction fees for receiving referral bonus are bound to a User.

• A monthly plan will continue on a month-to-month basis as long as the User pays the commission fee on the invoice within 7 days from the reception of the invoice.

6. Withdrawal/Cancellation

• Users have the right to request pause/cancellation of the subscription up to 10 days before next trading month starts. The account of the User will stay active for the tenure.

• If a User withdraws or cancels a subscription, he/she is bound to pay for the commission of the last trading period he/she has already been able to make a profit through the Product.

• In case the user has opted for a free trial, no commission is applicable or paid if the User withdraws the subscription.

7. Legal Use of the Product

• By using our Website and Product/Software, you declare to be at least 19 years old.

• You may not use the Website and Product/Software in such a way that it violates the Hong Kong law or any other applicable legislations and regulations in the jurisdiction.

• As a condition for using the Product, you agree not to provide any information, data or content to us or the Website and Product that is incorrect, invalid, illegal, inaccurate, or incomplete or that violates any regulation. Besides, you accept to the Terms that you will not, nor allow third parties to:

o Enter any secure/confidential areas of the Website or Product/:

o Send viruses, junk mails, spam, chain letters, unsolicited offers or ads of any kind and for any purpose:

o Investigate, scan or test the Website of Product/Software or any other related system or network, or violate any security or authentication:

• If the account belongs to a corporate company, only the authorized user is allowed to trade on behalf of the corporate account. It is the responsibility of the respective user belonging to the account to restrict the account from non-authorized persons accessing the account.

• 3percent is entitled to (temporarily or permanently) block your account and deny you access to the Website or Product, in case we suspect abuse of the account or the Website or the Product. We shall also block your account or deny access to the platform if you do not accept these Terms, including conditions and policies referenced herein.

8. User Privacy

• 3percent grants its Users a non-transferrable, non-exclusive, non-sublicensable, and revocable license intended for fair use of the Website and Product/Software on the subscription basis as offered by us at https://3percent.io/. No third-party or a user is allowed to access the content of the Website and Product for any other purpose, such as copying, selling or distributing the content of the Product and the Website. 10. Availability of the Product and Disclaimer of Warranties

The Website and Product are available on laptops and PCs operating on legal operating systems and mobile devices running on iOS and Android operating systems. 3percent will use reasonable efforts to make the Website and Product available at all times. However, users acknowledge that the quality and availability of the Website and Product may be affected by factors outside 3percent’s reasonable control because of the reason that the Website and Product are provided over the internet.

3percent does not account for or accept any responsibility whatsoever for the unavailability of the Website and Product, or any difficulty or inability in downloading or accessing the information, or any other communication lags which may result in the Product being unavailable.

3percent is not responsible for any support or maintenance regarding the Website or Product. 3percent may – at its own discretion – update, modify, or adapt the Website or Product and their functions periodically to enhance the user experience. 3percent is not responsible for any downtime resulting from these actions.

To the max limit allowed by the applicable laws of the Hong Kong, 3percent hereby declares that all the implied warranties regarding the availability of the Website and Product. The Website and Product are provided “as is” and “as available” without warranty of any kind.

11. Help and Disclaimer

While the Website/Product contains information on an algorithmic indicator created by 3percent, 3percent will not be liable for:

• expense or other loss you may suffer arising out of such information or any reliance you may place upon such information/Product:

3percent may upload general tutorials and videos on the Website, about the set up of the Website and Product. All tutorials, videos, and templates uploaded by 3percent are public and contain in no way personal. All use of this advice/Product is at the sole risk of the Users. Users can request connecting 3percent AI Bot to their crypto trading exchanges through API at the sole risk of the Users.

12. Risks

All Users are aware of the risks accompanying the possessions, trading, and using cryptocurrencies and the Users are fully responsible for these risks.

13. Liability

Nothing mentioned in these Terms & Conditions shall exclude or limit 3percent’s liability when it cannot be excluded or limited under the applicable legislation or laws. 3percent is not liable or responsible to you for any damage or issue, either direct or indirect, that you encounter as a result of the use of the Product or Website or the information provided thereon. For instance, 3percent is not responsible for:

• The proper or improper functioning of links provided by the Website or Product:

• The quality of any template containing Bot’s set up provided on the Website:

• The lack of or limited financial benefits for the Users through the use of the Product:

• Any situation where Users mobile device, log in details, or password is stolen, and any unauthorized user subsequently makes use of the Product without the consent of the User:

• Any malfunction or alteration to User’s equipment including – but not limited to – computer accessories or mobile device as a result of the installation or use of the Product or the Website:

• A failure to meet any of 3percent’s obligations under these Terms & Conditions. where such failure is due to events beyond 3percent’s reasonable control.

14. Indemnification

Users will indemnify, defend, and hold 3percent harmless from and against all liabilities, issues, malfunctions, damages, and costs (costs include settlements and reasonable attorneys’ fees) arising out of third party claims regarding:

• Any damages or failures resulting from the behavior of User associated with the use of our Website and Product: and

• Breach by User of these Terms & Conditions or violation of any applicable law. regulation, or order.

15. Miscellaneous

3percent reserves the right to change these Terms & Conditions and notify the registered users regarding the same. When we modify or update these Terms & Conditions in a significant way, we will notify Users by newsletter (if the User has provided us his/her email address), through a messenger or social media platform, and post a notification of the updated Terms & Conditions on our Website. By continuing to use the Website and the Product, you acknowledge the most recent version of these Terms of Use.

Users have no right to transfer the rights and obligations from these Terms and Conditions (designed for them) to third parties.

16. Laws
